Effective Date: From Company’s First day
Entity: Hawks Fintech Private Limited
Applicable To: Website, Web Application, Mobile App (Android/iOS), Services,
Communications, APIs, and any affiliated platforms.
Introduction
This Software License Agreement (“Agreement”) governs your access to and use of the accounting software
and mobile/web
applications (“Software” or “Application”) developed, owned, and operated by Hawks Fintech Private
Limited (“Company”,
“we”, “us”, or “our”). By installing, accessing, or using any component of the Software, whether on
mobile or web
platforms, you (“you”, “your”, or “Licensee”) agree to be legally bound by the terms and conditions set
forth herein.
This Software License Agreement (“Agreement”) governs your access to and use of the accounting software
and mobile/web applications (“Software” or “Application”) developed, owned, and operated by Hawks
Fintech Private Limited (“Company”, “we”, “us”, or “our”). By installing, accessing, or using any
component of the Software, whether on mobile or web platforms, you (“you”, “your”, or “Licensee”) agree
to be legally bound by the terms and conditions set forth herein.
If you do not agree with any of these terms, do not install, use, or access the Hawks Fintech
Application or any of its components.

Grant of License
Subject to your compliance with this Agreement and payment of applicable subscription fees, the Company grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Software as a SaaS (Software-as-a-Service) product for internal business accounting purposes. This license allows use only:
- On one mobile device (Android/iOS) and/or
- Through web browsers for desktop access,
- And by authorized users as per subscription.
You shall not sell, rent, sublicense, lease, distribute, assign, or otherwise transfer the Software or
any rights granted herein to any third party without prior written consent of the Company.
Ownership & Intellectual Property Rights
The Software and all associated intellectual property—including source code, reports, designs,
documentation,
trademarks, logos, and any derivative works—are and shall remain the exclusive property of Hawks
Fintech Private
Limited. The Software is protected under the Copyright Act, 1957, and all other applicable
intellectual property laws of
India.
Any unauthorized copying, modification, reverse engineering, distribution, or use of the Software beyond
the licensed
scope constitutes a violation of applicable law and may lead to civil and/or criminal liability.
Trial Usage & Functionality Disclaimer
The Company provides a free trial version of the Software to enable users to evaluate features,
usability, and
suitability for their business requirements. Users are advised to thoroughly assess the Software during
the trial
period.
Once a subscription is purchased, it shall be deemed that the User has fully reviewed the Software and
accepted its
limitations, functionality, and scope. Customizations or modifications shall not be entertained unless
explicitly agreed
to in writing.
Software Use, Performance, and Limitations
The Software is designed as a standardized accounting tool. Features include data entry, ledger
management, profit &
loss, trial balance, stock summaries, and other routine accounting operations. While we strive for
accuracy, the
Software may not fulfill every business-specific accounting scenario. Users are solely responsible for
reviewing and
verifying all accounting outputs with qualified professionals (e.g., CA, tax consultants) before filing
statutory
documents.
The Company does not assume any liability for errors in accounting calculations or resulting tax
implications.
Payment Terms & Subscription
All usage of the Software is based on an annual subscription model. Upon expiration, system
access may
be revoked until
the license is renewed. Subscription payments are governed by our separate Refund Policy, which
prohibits refunds except
for verified duplicate payments.
If APIs (such as for GST filing, e-Way bills, or e-Invoicing) are purchased, those are procured from
third-party
government-authorized providers and are strictly non-refundable.
Data Storage & Customer Responsibilities
All data entered into the Software is stored on secure third-party cloud infrastructure (AWS/Google
Cloud). The Company
takes all reasonable technical precautions to protect data from unauthorized access, but does not
guarantee 100% data
security due to the inherent nature of internet-based platforms.
Customers are solely responsible for regularly exporting and backing up their business data using
the tools provided in
the Software. The Company will not be held liable for any data loss, corruption, or service
interruption.
Technical Support
Support is provided via email and phone only, during the active subscription period. Onsite or
remote access support is
not guaranteed. Our support hours and process are mentioned on our website and may be revised
from time to time.
Support will be rendered only after license activation and receipt of payment confirmation.
Limitation of Liability
To the fullest extent permitted by applicable law, Hawks Fintech Private Limited disclaims all
warranties, express or
implied, including fitness for a particular purpose, accuracy, or uninterrupted service.
The Company shall not be liable for any direct, indirect, incidental, special, consequential, or
punitive damages,
including but not limited to: business loss, data loss, system errors, regulatory penalties, or
operational downtime,
arising out of or related to the use or inability to use the Software, even if the Company has been
advised of the
possibility of such damages.
Compliance with Law & Jurisdiction
This Agreement shall be governed and interpreted in accordance with the laws of India, and the
courts at New Delhi shall
have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement, the
Software, or its
usage.
Any dispute, claim, or difference shall be resolved by way of arbitration, governed by the
Arbitration and Conciliation
Act, 1996, and the seat of arbitration shall be New Delhi, India. The Company reserves the right to
appoint the sole
arbitrator.
Disclaimer on Accuracy of Reports
Although the Software performs accounting calculations as per standard logic, human oversight or
technical glitches may
lead to occasional errors. It is the user’s responsibility to ensure that all data is verified and
certified by a
competent professional before being submitted to any regulatory or statutory body. The Company shall not
be liable for
any penalties, interest, tax notices, or legal proceedings arising from unverified or incorrect reports.
Modification of Terms
The Company reserves the right to amend, modify, or replace any term of this Agreement at its sole
discretion. Updated
terms will be posted on the official website, and continued use of the Software after changes implies
acceptance of the
new terms.
Termination
The Company may terminate this license without notice if the user breaches any terms of this Agreement.
Upon
termination, access to the Software will be revoked, and the user must cease all use of the Software.
Any data remaining
on the Company’s servers may be deleted permanently after the grace period unless retrieval is requested
in writing.
Data Deletion Requests
Users who wish to discontinue usage may formally request deletion of their business data from our
servers. Requests must
be made through the data deletion form available on our website. Upon verification, the Company will
permanently remove
the data within 7 working days of approval.
Third-Party Services
The Software may use or integrate with third-party tools and APIs (such as SMS gateways, GST APIs, or
analytics
platforms). The Company does not warrant or control third-party services and disclaims any liability for
their
performance, availability, or privacy practices.
